1. Introduction

These Terms of Service ("Terms") govern your access to and use of the StartupAmplify website, products, and services ("Services"). By using our Services, you agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

You must be at least 18 years old to use our Services. By agreeing to these Terms, you represent and warrant that you are at least 18 years old.

3. Your Account

To use certain features of our Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Service Description

StartupAmplify is software that distributes a product's launch kit across startup directories, catalogs, and launch platforms — tailoring the submission per directory and, where possible, capturing evidence of what was submitted. We do not guarantee specific outcomes, such as acceptance by any given directory, a certain number of visitors, users, investors, search rankings, or mentions by AI assistants, as these depend on factors outside our control (including each directory's own editorial decisions).

5. Payment Terms

StartupAmplify is currently offered on a credit-based model: distribution runs consume credits, and any applicable prices are shown at checkout before you pay. We reserve the right to change pricing at any time; changes do not affect credits you have already purchased. Payments are handled by our payment processor (Stripe) — we never store your full card details.

6. Refund Policy

Purchased credits are generally non-refundable except where required by law. If something went wrong with a distribution run, contact us at contact@startupamplify.com and we will review it in good faith on a case-by-case basis. See our Refund Policy for the full details.

7. User Content

When submitting content for promotion (including startup descriptions, logos, and other materials), you retain ownership of your content. However, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content for the purpose of providing our Services.

You are solely responsible for your content and represent that you have all necessary rights to the content you provide and that it does not violate any third-party rights, laws, or regulations.

8. Prohibited Activities

When using our Services, you agree not to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Submit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Attempt to interfere with, compromise the security of, or disrupt our Services
• Use our Services to promote scams, fraudulent businesses, or illegal activities

9. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, and images, are owned by StartupAmplify and are protected by copyright, trademark, and other intellectual property laws.

10. Limitation of Liability

To the maximum extent permitted by law, StartupAmplify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

11. Indemnification

You agree to indemnify, defend, and hold harmless StartupAmplify, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

12. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes, we will provide notice by posting the updated Terms on our website and updating the "Last Updated" date at the top of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
